Vendor Terms & Conditions

The agreement between RNTX and every accommodation partner distributing inventory through the Platform.

Last Updated: May 2026  ·  Version 1.0

IMPORTANT: PLEASE READ CAREFULLY

These Vendor Terms & Conditions (the "Agreement" or "Terms") form a legally binding contract between you ("Vendor," "you," or "your") and RNTX Travel Inc. ("RNTX," "we," "us," or "our"), a business operating under the laws of the Province of Ontario, Canada, with registered offices at 1400 – 18 King Street East, Toronto, Ontario, M5C 2A1.

By clicking "I acknowledge and accept these Terms and Conditions" during onboarding, by listing any property on the RNTX platform (the "Platform"), or by accepting any booking originated through RNTX, you agree to be bound by this Agreement in its entirety. If you do not agree to these Terms, do not complete onboarding and do not use the Platform.

You represent that the individual accepting these Terms has full legal authority to bind the Vendor entity to this Agreement.

1. DEFINITIONS

"Booking" means a confirmed reservation made by a Client through the Platform for accommodation supplied by a Vendor.

"Broker Fee" means the commission payable to RNTX as described in Section 7.

"Client" means any individual, business, agency, or corporate buyer who submits an inquiry, request for quote, or booking through the Platform, including B2B corporate buyers (film & production, sports management, insurance ALE, relocation specialists, and similar) and B2C travellers.

"Guest" means the individual(s) who occupy the Property during a Booking, whether the Client themselves or a designated occupant.

"Net Vendor Payout" means the gross Booking amount less the Broker Fee, any applicable taxes on the Broker Fee, applicable refunds, chargebacks, and any Stripe processing fees as allocated under Section 6.

"Platform" means the RNTX website at www.rntx.ca, related subdomains, and any mobile or partner applications operated by RNTX.

"Property" means any hotel room, furnished residence, serviced suite, or other accommodation unit listed by Vendor on the Platform.

"RFQ" means a Request for Quote sent by RNTX to Vendor in response to a Client inquiry.

"Stripe" means Stripe Payments Canada, Ltd., the third-party payment processor used by RNTX to facilitate Client payments and Vendor payouts.

2. RNTX'S ROLE

RNTX operates an online accommodation marketplace and brokerage platform that connects Clients with approved accommodation providers.

RNTX is not the owner, operator, manager, or licensee of any Property. RNTX is not a party to the accommodation contract between the Vendor and the Client; the rental of the Property is a direct agreement between Vendor and Client.

RNTX's role is limited to: (a) marketing Vendor's Property and listings to prospective Clients; (b) facilitating the RFQ and quote process; (c) processing Client payments through Stripe and remitting Net Vendor Payouts to Vendor; and (d) providing related platform services.

RNTX does not guarantee any minimum number of inquiries, bookings, revenue, or occupancy.

3. ELIGIBILITY & VENDOR ACCOUNT

To onboard as an RNTX Vendor, you must: (a) be a duly incorporated, registered, or otherwise lawfully constituted business entity; (b) hold all licences, permits, registrations, zoning approvals, and operating authorisations required by federal, provincial, and municipal law to lease or offer the Property as short-term, medium-term, or corporate accommodation; (c) maintain general commercial liability insurance with limits reasonably appropriate to the nature of your operations (minimum $2,000,000 per occurrence recommended); (d) have an active GST/HST registration (or Quebec QST equivalent, where applicable); (e) successfully complete the Stripe Connect onboarding process referenced in Section 6; and (f) provide accurate and current information during onboarding, including legal business name, business address, tax registration numbers, contact information, banking details, and beneficial-ownership information where required.

You agree to update your account information promptly upon any material change. RNTX may suspend or terminate any Vendor account whose information is incomplete, inaccurate, outdated, or whose required licences or registrations have lapsed.

4. PROPERTY LISTINGS & CONTENT

4.1 Accuracy

You are solely responsible for the accuracy, completeness, and currency of all listings, descriptions, photographs, rates, availability, amenities, policies, and other content (the "Vendor Content") you publish or supply for publication on the Platform. You represent and warrant that all Vendor Content is true, not misleading, and does not omit any material fact.

4.2 Standards

All Properties listed on the Platform must: (a) be safe, clean, habitable, and delivered in the condition represented to the Client; (b) comply with all applicable health, safety, fire, building, and zoning codes; (c) carry working smoke and carbon-monoxide detectors where required by law; and (d) be free of material defects not disclosed in writing prior to Booking.

4.3 Licence to Vendor Content

You grant RNTX a non-exclusive, royalty-free, worldwide, sublicensable licence to host, display, reproduce, adapt (for formatting and translation only), and distribute Vendor Content on the Platform and in RNTX marketing materials (including, where reasonable, social media, email campaigns, RFQ responses sent to prospective Clients, and partner channels) for the duration of this Agreement and for a reasonable wind-down period thereafter.

You warrant that you own or are duly licensed to use all Vendor Content and that the licence granted to RNTX does not infringe any third-party intellectual property, privacy, or publicity rights.

4.4 Brand Use

You authorise RNTX to refer to you as an "RNTX Approved Vendor" or "RNTX Preferred Supplier" during the term of this Agreement. You may not use the RNTX name, logos, trademarks, or trade dress except as permitted in writing by RNTX, and any such use must comply with RNTX's brand guidelines as updated from time to time.

5. RFQ, QUOTING & BOOKING PROCESS

5.1 RFQs

When RNTX receives a Client inquiry that matches your Property, RNTX will send you an RFQ containing relevant details (dates, occupancy, requirements, special requests).

5.2 Quote Submission

You may respond with a quote that includes, at minimum: (a) Vendor's base accommodation rate for the length of stay (i.e., the net rate Vendor wishes to receive before the addition of RNTX's Broker Fee, Stripe processing fees, or taxes); (b) applicable taxes (HST/GST and any tourism, municipal accommodation, or destination marketing levies); (c) security deposit amount and conditions, if applicable; (d) your cancellation and modification policy (Section 8); (e) any additional fees (parking, cleaning, pet fees, utilities, late check-in, etc.); and (f) the validity period of the quote.

5.3 Vendor Pricing Discretion

Vendor sets its own base accommodation rate and may, at its sole discretion, increase or decrease that base rate at any time (subject to Section 5.5 below) to reflect competitive pricing decisions, including in order to fully or partially offset the RNTX Broker Fee within the all-in price presented to the Client. RNTX does not require Vendor to absorb the Broker Fee economically; Vendor is free to mark up its base rate to net any economic outcome Vendor chooses.

5.4 Guest-Facing Quote Build-Up

The price presented to the Client through the Platform (the "Guest-Facing Quote") is constructed by RNTX as follows: (a) Vendor's base accommodation rate (per Section 5.2); (b) plus the RNTX Broker Fee (Section 7), incorporated into the Guest-Facing Quote and which may be displayed as a "service fee," "platform fee," "booking fee," or simply as part of the total, at RNTX's discretion; (c) plus applicable Stripe processing fees, currency-conversion fees, and similar payment-network costs (Section 6.3); (d) plus any additional Vendor-specified fees (cleaning, parking, pet, etc.); (e) plus applicable taxes and levies.

5.5 Quote Binding

Once submitted, Vendor's quote is a binding offer for the validity period stated. If a Client accepts the Guest-Facing Quote built up from Vendor's quote and a Booking is confirmed by RNTX through the Platform, Vendor is obligated to honour the Booking on the terms quoted.

5.6 Confirmation & Fulfilment

Once a Booking is confirmed, Vendor is responsible for: (a) managing the reservation in its own systems; (b) communicating directly with the Client and Guest regarding check-in, access, house rules, and operational matters; (c) delivering the accommodation as described in the accepted quote; and (d) handling any on-site issues, requests, damages, or incidents that arise during the stay.

6. PAYMENT PROCESSING (STRIPE)

6.1 Stripe Connect

All Vendor payouts on the Platform are processed through Stripe Connect. As a condition of onboarding, you must create and maintain an active Stripe Connect account and complete all Stripe identity verification, banking verification, tax, and anti-money-laundering requirements.

Your use of Stripe is also governed by the Stripe Connected Account Agreement and Stripe Services Agreement (collectively, the "Stripe Terms"), which are incorporated into this Agreement by reference. You are responsible for reviewing and complying with the Stripe Terms. RNTX is not a party to the Stripe Terms and is not responsible for Stripe's acts, omissions, fees, holds, or policy decisions.

6.2 Funds Flow

RNTX collects the full Client payment at the time of Booking and holds these funds in a trust account via Stripe Connect until eligible for payout in accordance with Section 6.4. RNTX is the merchant of record for all transactions processed through the Platform.

You acknowledge that: (a) Client funds are held by Stripe on RNTX's behalf in a designated trust account and are not commingled with RNTX's operating funds; (b) RNTX may, where required by law or by the Stripe Terms, act as a payment facilitator for the limited purpose of routing Client funds to Vendor; and (c) the underlying contract of supply for the accommodation remains directly between Vendor and Client.

6.3 Currency, Processing Fees & Taxes

Bookings are processed in Canadian dollars (CAD) unless otherwise specified at the time of Booking.

Stripe Processing Fees. Stripe processing fees, currency-conversion fees, dispute fees, and any other Stripe-imposed transaction costs (collectively, "Stripe Fees") are added to the Guest-Facing Quote at the time of Booking and are economically borne by the Client as part of the all-in total. Mechanically, Stripe Fees are deducted from the gross Booking amount by Stripe before settlement and accordingly reduce the funds available for the Net Vendor Payout calculation. Where Stripe Fees are incurred after settlement (e.g., dispute fees, chargeback fees, refund processing fees, currency adjustments), such fees will be deducted from Vendor's subsequent Net Vendor Payout or invoiced to Vendor where insufficient funds are available.

Taxes. You are solely responsible for charging, collecting, remitting, and reporting all applicable taxes (including HST/GST, QST, provincial sales taxes, municipal accommodation taxes, tourism levies, and any other taxes) on the accommodation. RNTX does not collect or remit accommodation taxes on your behalf. You will ensure that all quotes accurately reflect the taxes payable by the Client. RNTX is independently responsible for any HST/GST applicable to its own Broker Fee.

6.4 Payout Schedule

Subject to Section 6.5, RNTX initiates Vendor payouts on a per-Booking, stay-relative schedule as follows:

(a) First Payout. The initial payout for each confirmed Booking is issued up to 5 business days after the Guest's confirmed check-in date, covering the first 30-day period of the stay, less any refunds, chargebacks, holdbacks, Stripe Fees, Broker Fees, and applicable taxes on those fees.

(b) Subsequent Payouts (Multi-Month Stays). For stays extending beyond 30 days, each subsequent payout is issued on the monthly anniversary of the check-in date (e.g., a check-in on the 5th of a given month generates subsequent payouts on the 5th of each following month for the duration of the stay), covering each successive 30-day period, net of any applicable deductions.

(c) Business-Day Rule. Where any scheduled payout date falls on a weekend or statutory holiday, payment is issued on the following business day.

(d) Settlement Time. Funds typically arrive in Vendor's designated account within up to 5 business days of each payout date, subject to Stripe's own processing timelines and applicable banking timelines.

All payouts are made net of RNTX's Broker Fee, applicable taxes on the Broker Fee, and any agreed deductions, and are transferred to the Vendor's designated account on file with RNTX. RNTX may change the payout schedule on 30 days' written notice.

6.5 Holdbacks, Reserves & Disputes

RNTX (or Stripe, acting under the Stripe Terms) may withhold, delay, or claw back all or part of a Vendor payout where: (a) a Booking is disputed, refunded, or charged back; (b) a Guest reports a material service failure (e.g., property not as described, denied access, unsafe conditions) and a refund is required under Section 9 or by applicable consumer-protection law; (c) the Vendor has outstanding amounts owing to RNTX; (d) Stripe imposes a reserve or rolling-hold against Vendor's account; (e) RNTX has a reasonable, good-faith belief that the Booking is fraudulent or violates this Agreement; or (f) required by law, court order, or regulatory authority.

RNTX will notify Vendor of any holdback and the reason for it, and will release withheld funds promptly once the issue is resolved.

6.6 No Off-Platform Collection

Once a Client has been introduced through the Platform, you agree to process all payments for that Booking and any directly related future stay through Stripe via the Platform. See Section 11 (Anti-Circumvention).

7. BROKER FEE

7.1 Rate

RNTX charges a Broker Fee of ten percent (10%) on Vendor's base accommodation rate for each confirmed Booking, excluding accommodation taxes and Client-paid tax-equivalent levies but inclusive of any non-tax line items charged to the Client (e.g., cleaning, parking, pet fees, late check-in surcharges).

7.2 Built Into the Guest-Facing Quote

The Broker Fee is built into the Guest-Facing Quote presented to the Client and may be displayed as a "service fee," "platform fee," "booking fee," or simply incorporated into the all-in price, at RNTX's discretion. The Client therefore pays the Broker Fee as part of the total Booking price, and Vendor is paid out on the basis of Vendor's base accommodation rate (plus any additional Vendor-specified line items and applicable accommodation taxes), less the deductions identified in Section 6 and elsewhere in this Agreement.

Vendor retains full discretion under Section 5.3 to mark its base accommodation rate up or down to reflect competitive pricing decisions, including to offset or pass through the economic effect of the Broker Fee within the Guest-Facing Quote.

7.3 Collection

Mechanically, Stripe collects the full Guest-Facing Quote amount from the Client. From the gross amount collected, the following are deducted in calculating Net Vendor Payout: (i) Stripe Fees (Section 6.3); (ii) the Broker Fee plus any applicable HST/GST on the Broker Fee; (iii) any refunds, chargebacks, holdbacks, or other amounts owing under this Agreement. The remainder is paid to Vendor on the next applicable Payout Date (Section 6.4).

The Broker Fee is earned upon confirmed check-in and is non-refundable to Vendor except where the Booking is fully refunded to the Client (in which case the Broker Fee is refunded pro rata to the extent it was collected from the Client).

7.4 Changes to the Broker Fee

RNTX may modify the Broker Fee on at least 30 days' prior written notice to Vendor. Continued use of the Platform after the notice period constitutes acceptance of the revised fee.

8. VENDOR CANCELLATION & MODIFICATION POLICIES

8.1 Policy Disclosure

You must publish a clear, written cancellation and modification policy for each Property listed on the Platform. The policy must specify: (a) the deadline by which a Client may cancel for a full refund (if any); (b) any partial-refund tiers and the associated cut-off dates; (c) any non-refundable amounts or fees; (d) modification rules (date changes, length-of-stay changes, occupancy changes); and (e) the policy applicable in cases of force majeure.

8.2 Obligation to Honour Policy

You agree to honour the cancellation and modification policy disclosed to the Client at the time of Booking. You may not, after a Booking is confirmed, alter the cancellation policy applicable to that Booking to the Client's detriment.

Unless RNTX has enabled Vendor to publish and maintain a custom cancellation policy for a Property, RNTX's standard long-term cancellation policy applies by default: a Guest who cancels 15 or more days before move-in incurs a penalty equal to half of one month's rent; a Guest who cancels within 14 days of move-in incurs a penalty equal to one full month's rent; there are no full refunds for long-term stays. Guest cancellation requests must be submitted to RNTX, not directly to Vendor, by email to admin@rntx.ca or hello@rntx.ca, and take effect only once RNTX confirms the cancellation to the Guest in writing.

8.3 Refunds

Refunds owed to Clients under the applicable cancellation policy will be processed through Stripe and deducted from your next Vendor payout (or, where the payout has already been issued, collected from Vendor's Stripe balance or invoiced separately). Stripe processing fees on refunded transactions are non-recoverable from RNTX.

8.4 RNTX-Initiated Refunds

RNTX reserves the right, acting reasonably and in good faith, to issue a full or partial refund to a Client without Vendor's prior consent where: (a) the Property was not delivered as described or was materially deficient (e.g., unsafe, uninhabitable, undisclosed defects); (b) the Vendor cancelled the Booking after confirmation without legitimate cause; (c) the Guest was denied access to the Property; (d) the Vendor failed to honour its own published cancellation policy; or (e) a refund is required by applicable consumer-protection law.

The amount of any such refund will be deducted from Vendor's Net Vendor Payout or, if insufficient funds are available, invoiced to Vendor and payable within 14 days.

8.5 Force Majeure & Extraordinary Events

Where a Booking cannot reasonably be fulfilled due to a Force Majeure event affecting the Property (Section 18), the parties will work in good faith to reschedule or refund the Client. RNTX may publish updated guidance applicable to such events from time to time.

9. VENDOR REPRESENTATIONS, WARRANTIES & COVENANTS

You represent, warrant, and covenant on a continuing basis that: (a) you have full authority to enter into and perform this Agreement; (b) each Property is legally permitted to be operated as offered and complies with all applicable laws, including municipal short-term-rental, zoning, and licensing requirements; (c) you hold and will maintain all required insurance, including general commercial liability; (d) all Vendor Content is accurate, current, and not misleading; (e) you will deliver each Booking in accordance with the quote accepted by the Client; (f) you will handle all Guest personal information in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA), Quebec's Law 25 (where applicable), and any other applicable privacy laws; (g) you will provide a Certificate of Insurance within ten (10) business days of RNTX's written request; (h) you will respond to RFQs, Client communications, and RNTX inquiries in a reasonable and professional manner; and (i) you are not subject to any sanctions, trade restrictions, or court orders that would prevent your use of the Platform or Stripe.

10. CLIENT DATA & PRIVACY

Client and Guest personal information provided to you through the Platform (or directly by the Client in connection with a Booking) is to be used solely for the purpose of fulfilling the Booking and providing related Guest services.

You agree: (a) not to use Client or Guest personal information for marketing, solicitation, or any unrelated purpose without the individual's express, informed consent; (b) to maintain reasonable administrative, technical, and physical safeguards protecting that information; (c) to retain the information only for as long as necessary to fulfil the Booking and meet your legal obligations; (d) to promptly notify RNTX in writing of any actual or suspected privacy or security breach involving Client or Guest data introduced through the Platform; and (e) to cooperate with RNTX on any responses required under applicable privacy law.

11. ANTI-CIRCUMVENTION

You agree that, for twenty-four (24) months following the most recent Booking, RFQ, or material interaction between you and a Client introduced through the Platform, you will not: (a) solicit, accept, or fulfil any direct booking, repeat booking, or related accommodation request from that Client off-Platform in a manner that would avoid the Broker Fee; or (b) encourage or instruct any Client to book directly with you outside the Platform.

If RNTX reasonably determines that a Vendor has circumvented the Platform, RNTX may invoice Vendor for the Broker Fee that would have been payable on the off-Platform booking, plus a reasonable administrative fee, and Vendor agrees to pay such invoice within thirty (30) days. Repeated or material breach of this Section is grounds for immediate termination.

For clarity, this Section does not prevent Vendor from accepting bookings from a Client through other channels where the Client independently approached Vendor without reference to RNTX and where the Client is not, at the time of booking, an active RNTX-introduced relationship.

12. CONFIDENTIALITY

Each party agrees to keep confidential any non-public business, commercial, technical, or financial information of the other party disclosed in connection with this Agreement, including pricing, Client identities (where not otherwise public), RFQ contents, and Platform features. Confidential information may be used only for the purposes of this Agreement and may not be disclosed to third parties except to professional advisers under equivalent confidentiality obligations, or as required by law. This Section survives termination for two (2) years.

13. TERM, SUSPENSION & TERMINATION

13.1 Term

This Agreement begins when Vendor accepts these Terms during onboarding and continues until terminated under this Section.

13.2 Termination for Convenience

Either party may terminate this Agreement at any time on 30 days' written notice (email to hello@rntx.ca from Vendor's registered contact, or RNTX notice through the Platform or by email).

13.3 Termination for Cause / Suspension

RNTX may suspend or terminate Vendor's account, immediately and without notice, where: (a) Vendor materially breaches this Agreement and fails to cure within 10 business days of written notice (or immediately, where the breach is not capable of cure); (b) Vendor's licences, permits, or insurance lapse or are revoked; (c) Vendor's Stripe account is suspended, restricted, or terminated; (d) RNTX has a reasonable, good-faith belief that Vendor has engaged in fraud, misrepresentation, or unlawful conduct; (e) Vendor receives repeated, substantiated Client complaints concerning safety, accuracy, or service quality; (f) Vendor becomes insolvent, files for bankruptcy, or makes a general assignment for the benefit of creditors; or (g) required by law, regulator, or court order.

13.4 Effect of Termination

On termination: (a) Vendor's listings will be removed from active inventory on the Platform; (b) confirmed Bookings with a future check-in date will, where reasonable, be honoured by Vendor on the terms originally booked, unless RNTX and Vendor agree in writing to refund and cancel; (c) all outstanding Broker Fees, refunds, holdbacks, and other amounts become immediately due and reconcilable through Stripe; (d) Sections that by their nature should survive termination (including Sections 6.5, 7.2, 9, 10, 11, 12, 14, 15, 16, 17, and 19) survive.

14. DISCLAIMERS

The Platform is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by applicable law, RNTX disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted access, and freedom from error.

RNTX makes no warranties or representations regarding: (a) the volume, quality, conversion, or profitability of inquiries or Bookings; (b) the conduct, creditworthiness, or behaviour of any Client or Guest; (c) the availability or uptime of the Platform or Stripe; or (d) the accuracy of any third-party content surfaced through the Platform.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, in no event will RNTX, its affiliates, directors, officers, employees, or contractors be liable to Vendor for: (a) any indirect, incidental, special, consequential, exemplary, or punitive damages; (b) loss of profits, revenue, business, goodwill, opportunity, or data; or (c) any damages arising from Client or Guest conduct, property damage caused by Guests, or third-party acts.

RNTX's aggregate liability to Vendor under or in connection with this Agreement is limited to the total Broker Fees actually paid by Vendor to RNTX during the three (3) months immediately preceding the event giving rise to the claim.

Nothing in this Agreement limits liability for fraud, wilful misconduct, gross negligence, or any liability that cannot be limited or excluded under applicable law.

16. INDEMNIFICATION

Vendor agrees to defend, indemnify, and hold harmless RNTX and its affiliates, directors, officers, employees, agents, and contractors from and against any and all claims, demands, actions, losses, damages, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) Vendor's breach of this Agreement or any representation, warranty, or covenant made herein; (b) any injury, death, illness, or property damage occurring at or in connection with a Property; (c) any tax, levy, fine, or assessment imposed against RNTX as a result of Vendor's failure to collect, remit, or report applicable taxes; (d) any claim that Vendor Content infringes a third-party intellectual property, privacy, or publicity right; (e) any privacy or data-security breach attributable to Vendor; or (f) any non-compliance by Vendor with applicable law, including short-term-rental, zoning, licensing, accessibility, or consumer-protection law.

17. FORCE MAJEURE

Neither party will be liable for any failure or delay in performance (other than the obligation to pay amounts already owed) caused by events beyond its reasonable control, including acts of God, severe weather, fire, flood, earthquake, pandemic or public health emergency, war, terrorism, civil unrest, government action, labour action, utility failure, internet or payment-network outage, or third-party platform failure (including Stripe). The affected party will notify the other promptly and use commercially reasonable efforts to mitigate the impact.

18. REGULATORY COMPLIANCE

18.1 Vendor Compliance

Vendor is solely responsible for any registration, licensing, permit, or compliance obligations applicable to Vendor under federal, provincial, or municipal law in connection with the operation of the Property and the supply of accommodation services, including (without limitation) short-term-rental licensing, zoning, occupancy, tax registration, accessibility, fire, building, and health codes.

Vendor agrees to provide RNTX with information, documentation, or disclosures reasonably requested by RNTX from time to time to meet RNTX's own legal, regulatory, or payment-processing obligations, or to reflect changes in applicable consumer-protection or payment-services regulation.

18.2 Anti-Money Laundering & Sanctions

Vendor warrants that it complies with applicable anti-money-laundering, anti-bribery, and economic-sanctions laws and that none of Vendor's beneficial owners, directors, or officers are listed on any applicable sanctions list. Vendor agrees to provide RNTX with information reasonably requested to meet RNTX's or Stripe's compliance obligations.

19. GOVERNING LAW & DISPUTE RESOLUTION

19.1 Governing Law

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

19.2 Good-Faith Negotiation

The parties agree to attempt to resolve any dispute, claim, or controversy arising out of or in connection with this Agreement through good-faith negotiation between authorised representatives for a period of at least 30 days before commencing formal proceedings.

19.3 Jurisdiction

Subject to Section 19.4, the parties submit to the exclusive jurisdiction of the courts of the Province of Ontario for any matter that cannot be resolved through negotiation.

19.4 Arbitration (Optional)

By mutual written agreement, the parties may submit any unresolved dispute to confidential, binding arbitration administered by the ADR Institute of Canada under its Arbitration Rules, seated in Toronto, Ontario, in English, by a single arbitrator.

20. CHANGES TO THESE TERMS

RNTX may update these Terms from time to time. Material changes will be communicated to Vendor by email (to the contact address on file) and/or in-Platform notice at least 30 days before they take effect. Continued use of the Platform after the effective date of the revised Terms constitutes Vendor's acceptance of the changes. If Vendor does not agree to a material change, Vendor's exclusive remedy is to terminate this Agreement under Section 13.2 before the change takes effect.

Non-material changes (e.g., clarifications, formatting, typo corrections) may take effect immediately on publication.

21. NOTICES

All notices to RNTX must be sent to hello@rntx.ca, with a copy to Vendor's designated RNTX account manager (if any). Notices to Vendor will be sent to the email address on file in Vendor's RNTX account. Notice is deemed given on the business day after sending, provided no delivery-failure message is received.

22. GENERAL

22.1 Independent Contractors

The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment, agency (except as expressly stated for payment-facilitation), or franchise relationship.

22.2 No Exclusivity

This Agreement is non-exclusive. Vendor may continue to work with any other booking channels, OTAs, or platforms, subject to Section 11 (Anti-Circumvention).

22.3 Assignment

Vendor may not assign or transfer this Agreement, in whole or in part, without RNTX's prior written consent. RNTX may assign this Agreement to an affiliate or in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of its assets.

22.4 Entire Agreement & Supersession

This Agreement, together with any written addenda, schedules, the Stripe Terms (as to payment processing), and any RNTX policies referenced herein, constitutes the entire agreement between the parties regarding its subject matter and supersedes and replaces in full any and all prior agreements, vendor agreements, terms and conditions, term sheets, form agreements, side letters, understandings, representations, and communications (whether written, electronic, or verbal) between RNTX and Vendor, including without limitation any prior signed or unsigned RNTX Approved Vendor Agreement or similar document. Any inconsistency between this Agreement and any such prior document is resolved in favour of this Agreement.

22.5 Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be replaced by a valid provision that most closely reflects the parties' original intent.

22.6 Waiver

No failure or delay by either party in exercising any right under this Agreement constitutes a waiver of that right.

22.7 Language

The parties have requested that this Agreement and all related documents be drafted in English. Les parties ont demandé que cette Entente et tous les documents y afférents soient rédigés en anglais.

22.8 Survival

Provisions that by their nature should survive termination will survive, including those identified in Section 13.4.
